What do you plan to use it for? What are your plans for tires/gears etc?
By default, I would lean toward rebuilding the 22re as well, its always been enough for me, unless a 3.4L conversion is in the budget.

22res are solid and with the right gearing push most any 35 around. IF your not wheeling I back the 3.4 swap well i guess even if you are wheeling i would but the money needs to be there. Though i saw that guy who put the 300sd Mercedes motor in and that was pretty slick. More info does help with the advise how much off road, on road ultimate goal, any concerns to gas mileage and budget all are a factor for sure

Rebuilding and "modding" would probably be the most cost effective. These are simple, strong engines. You could get away with rebuilding, bore, new street performance head (P&P, over-sized valves), header and decent exhaust for under $2K. Probably more like $1200-1500.
