It's located in/on, and/or is an integral component of, the throttle body . On the bottom side of it, roughly in between the 2 coolant lines that connect to it on each side.

thermo valve fail
anyone out there ever seen a thermo valve fail on a 3.o throttle body: wax has oozed out of the by-pass line and is caked around the connection of bypass hose to throttle body....just wondering....time for a new throttle body i guess
