Is my transmission bad?

I just got my '92 4Runner going and took it out for a test drive. I picked it up as a fix & sell project so this is the first time I have driven it on the road. It has a 3vze with an auto tranny, which I think might be slipping.

When I am climbing a hill in what appears to be 3rd gear, it seems like the RPMs will increase to about 2800 before it really grabs. It grabs slightly at lower RPM. It does not seem to do that in other gears. All the other gears grab about 2000 - 2200 RPM and shift smooth. When I am coasting down a hill with o/d off, the RPMs fluctuate between idle and 1800. It does not do this in neutral or if I downshift to a lower gear. It is almost like the transmission is grabbing and then letting go. Does this sound like 3rd gear is starting to slip or could there be an easier fix that I am not aware of?

IIRC, with an auto tranny....usually of one gear slips, all gears slip... I am no tranny expert by any means tho.

What does the fluid look/smell like? Black and burnt??

I was reading about it, and I think the torque converter is not grabbing like it should. When it is locked, the slipping does not seem to happen, meaning the transmission should be ok. The fluid is not black, but it is getting there. It does not smell burned. Do you think it could just need new fluid? Maybe it is just old and does not have the same viscosity it should have?

I changed the tranny fluid and it did not seem to make much of a difference. Does anyone know what the stock stall speed of the torque converter is suppose to be?
